			<content:encoded><![CDATA[<p>To help the retail industry through one of its toughest periods, there will be a key debate at our corporate finance events this year. Recently a Birmingham-based team advised on a deal which saw one of Britain&#8217;s oldest shoe shop chains bought by a Dutch retail giant.</p>
<p>Clearwater Corporate Finance was appointed advisors to Macintosh Retail on its acquisition of Jones Bootmaker. The purchase is to add 93 stores to the Dutch firm&#8217;s portfolio.</p>
<p>The deal is expected to complete in April and will see Jones Bootmaker aim to open 15 more stores in the UK over the next three years. The firm will also invest in a new website to increase online sales. To capitalise on the rise in retail internet sales, Jones are creating a separate distribution centre specifically for online sales.</p>

			<content:encoded><![CDATA[<p>People attending corporate performance events may be interested to hear that according to the CBI the &#8216;forgotten army&#8217; of medium-sized businesses holds key to future UK growth.</p>
<p>It says that medium-sized businesses despite representing just one per cent of businesses, they represent 16 per cent of all jobs and generate 22 per cent of the economic revenue.</p>
<p>In fact the CBI claim that the sector has the potential to inject between £20bn and £50bn into the economy by 2020.</p>
<p>In a report called Future Champions: unlocking growth in the UK&#8217;s medium-sized businesses, which uses new analysis conducted with the help of McKinsey &#038; Company, it&#8217;s calling for a broader range of finance to be made available to MSBs as they can no longer solely relying on bank lending.</p>

<P><FONT size=2 face=verdana>Eddie Allen: At many companies, executive compensation and deferrals have decreased over the past few years, requiring </FONT><FONT color=#000000 size=2 face=verdana>corporate benefits</FONT><FONT size=2><FONT face=verdana> directors to be more educated and creative in their use of deferred compensation programs. In addition, there is a perception that deferring income in a rising tax rate environment is not advisable. However, Newport’s analysis shows that deferring income remains advantageous to the executive assuming income is deferred for at least three to four years. Based on Newport’s experience with plan sponsors and participants, we know that the average deferral period is much longer than four years; therefore, pre-tax deferred compensation plans remain one of the most attractive executive benefit tools for creating wealth and additional retirement benefits. <BR> <BR><STRONG><FONT color=#0099cc>What should be on corporate benefits directors’ agendas today?</FONT></STRONG></FONT></FONT></P><br />
<P><FONT size=2 face=verdana>Eddie Allen: Corporate benefits directors need to regularly benchmark their executive benefit plans against their peer companies. A thorough retirement plan benchmark analysis allows them to see how their plans rank relative to their industry peers and shows whether or not their benefit plan dollars are being utilized to the fullest extent. The Newport Group is the only full-service retirement services firm with this benchmarking capability.<BR> <BR>The recession has also given many companies the opportunity to think outside the box in terms of utilizing their DCP for “sign on” or “stay” bonuses. These core competencies are: consulting, asset management, communication/education and administration.</FONT></P><br />
<P><FONT size=2 face=verdana>Consulting comprises all aspects of plan design, plan and trust documents, compliance and financial modeling. Asset management involves matching trust assets with plan liabilities and the creation of a “best in class” participant investment menu. A well-designed communication and education strategy is necessary for executive plans to succeed. Proper plan administration includes all of the tools necessary to satisfy the plan sponsor and the participants including a recordkeeping system built specifically for non-qualified plans and comprehensive corporate financial reporting. </FONT></P><br />
<P><FONT color=#0099cc size=2 face=verdana><STRONG>How can retirement plans be better aligned with organization goals?</STRONG></FONT></P><br />
<P><FONT size=2 face=verdana>Eddie Allen: The retirement plan must be consistent with the overall compensation strategy of the organization. What some companies do is pigeonhole their deferred compensation plans as a “401(k) make-up” plan to simply allow for modest additional deferrals. We feel that incorporating deferred compensation programs into the overall compensation and benefits strategy, including recruiting and retention, is a far better approach. There are so many ways companies can supercharge their already existing plans to better achieve their organizational and participant driven goals. </FONT></P><br />

<P>Dallas Salisbury: Health insurance is the number one program, followed by savings and retirement programs. Health insurance is what keeps people healthy and allows them to be at work. Voluntary benefits, such as gyms, are considered nice but people prioritize other things. </P><br />

<P>Dallas Salisbury: The focus on costs and short-term profits can be so overwhelming that <A style="TEXT-DECORATION: underline" href="http://www.me-uk.com/summit/newsletter.asp?eventid=16035&#038;RecID=1605" target=_blank>corporate benefits directors</A> often lose sight of the purpose of benefits programs, which is to keep employees healthy and secure, reduce absenteeism and maximize productivity. There is a need to constantly and continuously educate the enterprise on why it is critical to invest in such programs.   </P><br />
<P>Benefits directors have to do a front-end, annual, comprehensive review of all programs, to rationalize them against the core purpose and objectives of the organization. It is not enough to have health staff looking at health benefits and finance or HR staff at retirement benefits. </P><br />
<P><STRONG><FONT color=#0099cc>How can benefits director prepare for the Healthcare Reform Act?</FONT></STRONG></P><br />
<P>Dallas Salisbury: The uncertainties tied to the health reform, the constant drum beat of change and increasing costs and pressures highlight the importance of making sure the enterprise is focused on the virtues of benefits programs. Companies that are not bothered with how employees get coverage will be giving away the ability to ensuring the workforce is at its most productive at all times. It is not in the organization’s best interest to detach itself from the control it has over employee wellbeing. Again, this means educating management, talking through health reform and focusing on the essentials within the current budget planning cycle and not on what may or may not happen. There is a lot in the media about how we should worry about the prospect of excess tax on health plans beginning in 2018, but there will be a lot of policy change until 2018, which could make the excess tax issue irrelevant. Benefits directors should focus on what they can control.</P><br />
<P><STRONG><FONT color=#0099cc>What are your thoughts for the future? </FONT></STRONG></P><br />
<P>Dallas Salisbury: The move towards less generous health programs is making it difficult for people to afford retirement. As the millennial generation enters the labor force, this will be a problem. Benefits executives will have to consider ways of managing the workforce, to encourage exit from the labor force and put people in the position where they can actually retire. This problem is going to magnify itself over the next few years and it will be the number one issue that benefits executives are going to have to deal with. </P><br />

<P>Thomas Ezrin: The most successful programs are those that are “bottoms up” &#8211; created by groundswell and with employee recognition in mind &#8211; not imposed from the top of the organization. </P><br />
<P><A href="http://www.me-uk.com/summit/newsletter.asp?eventid=16035&#038;RecID=1697" target=_blank><FONT color=#0099cc>Wellness</FONT></A> is a hot topic in the industry because of cost escalations and concerns related to Healthcare Reform. We have implemented a comprehensive wellness program with incentives, fun and competitive events, wellness coaches and a plethora of tools available for employees to be able to take matters into their own hands and make the right healthcare related decisions.</P><br />
<P><STRONG><FONT color=#0099cc>What do people value the most? </FONT></STRONG></P><br />
<P>Thomas Ezrin: People value the financial benefits the most in the short-term, as they are tangible and can be seen immediately. For example, when smokers have to pay more for their healthcare, the opportunity of a financial benefit to quitting is motivating. Longer-term of course, actual improvements in health are the most valuable benefits of Wellness programs – for example lowering of cholesterol, weight loss, reduction in blood pressure, diabetes-type symptoms, etc. </P><br />
<P><STRONG><FONT color=#0099cc>What role can social media play within the benefits space?</FONT></STRONG></P><br />
<P>Thomas Ezrin: We are currently exploring various avenues of social media. The benefits vary from company to company, depending on the culture of the company, and the industry. The Silicon Valley workforce is quite progressive and the expectation is that companies in the area will be on the cutting-edge of technology and social media. The workforce has an entrepreneurial, engineering, fast-paced and innovative mindset. Google, Facebook and Cisco are obvious examples. Social media is not optional for this demographic – rather, it is part of the fabric of everyday life. This means that in order to stay competitive and to attract top talent in this area, social media must be used strategically.  </P><br />
<P>The benefit of social media of course is that everything happens in real time. If used correctly, it can speed up the pace of decision-making, innovation and the proliferation of ideas. The platform encourages, or facilitates the free flow of ideas, but it has to be a natural evolution as opposed to being imposed on employees. </P><br />
<P><STRONG><FONT color=#0099cc>How can Total Rewards programs better align with organizational goals?</FONT></STRONG></P><br />
<P>Thomas Ezrin: Again, transparency around pay philosophy is key. Open and honest communication around difficult decisions is always better than trying to hide something or assume employees will not understand what is happening. They will understand, and will be resentful if they think they are being manipulated or deceived. </P><br />
<P>Flextronics is a low margin operating model. Everyone understands that and is aligned to our montra of “doing more with less”. That is how we stay competitive, however, at the same time it offers motivated employees greater opportunities to “play up” and take on greater responsibility and challenges. Ultimately, they learn more and are better positioned to advance their careers as a result of their Flextronics experience. We prefer to reward high performers with above-market incentives and keep our fixed costs at the midpoint of the market. </P><br />
<P><STRONG><FONT color=#0099cc>If you were to give one piece of advice, what would that be?</FONT></STRONG></P><br />
<P>Thomas Ezrin: Keep things simple; the simpler the better. The ultimate goal of Rewards programs is to motivate employees and drive performance for the company. If you over-communicate or create complex programs, people will spend more time trying to understand what you are giving to them as opposed to doing their jobs.  </P><br />
